Research Indian insider and promoter activity

Start with a reported transaction, then check who dealt, how the securities changed hands and what happened before.

Find the purchases and sales worth a closer look

Use the India feed to narrow reported transactions by company, sector and purchase or sale. Open a company's history to compare the latest disclosure with earlier activity by the same person or group.

Did the promoter buy more of the business—or move an existing stake?

An acquisition by one promoter entity can sit alongside a disposal by another entity in the same group. Reading the buyer's filing in isolation can make an ownership reorganisation look like fresh buying. Compare the counterparties and the group's combined exposure.

A preferential allotment raises a different question: on what terms did the insider subscribe, and how did the issue change ownership percentages? The acquisition mode and pre- and post-transaction holdings give a more useful starting point than the headline rupee value.

Review the available India disclosures
Three acquisitions, three economic stories
Buying shares from outside the promoter group

A cash purchase increases the group's exposure to the business. Assess how much it changes the buyer's existing stake and whether it departs from their usual dealing pattern.

Moving shares between promoter entities

The acquiring entity reports an increase while another group entity reports a decrease. The group's combined holding can remain unchanged even when the individual filings are large.

Subscribing for newly issued shares

A preferential allotment involves new securities and issue terms. Review the subscription price, the change in ownership percentage and the resulting dilution alongside the capital committed.

Activity signals

What changed in the insider's behaviour?

A promoter who buys regularly and a director making their first disclosed purchase in years present different research questions. The useful comparison is with that person's earlier decisions, the company's ownership structure and the price at which the latest trade occurred.

Use the activity screen to find companies worth opening, then examine the transaction history. A burst of reported activity can reflect a change of view, a financing event or several disclosures arising from the same underlying decision.

Patterns that deserve a closer look
Selling gives way to buying

An insider starts purchasing after a history of disposals. Check whether both sets of transactions involved discretionary market trades, and how the new purchase compares with the shares previously sold.

Buying continues as the share price falls

Repeated purchases can increase exposure during a drawdown. Examine how much capital is being committed, how the holding changes and whether subsequent purchases become larger or simply follow a recurring schedule.

Several filings trace back to one event

A financing, group transfer or publication on both exchanges can create a concentration of disclosures. Reconstruct the sequence before treating the filing count as evidence of several independent buyers.

Insider performance

How much of the track record rests on one good trade?

A high average return can come from one exceptional investment, several purchases during the same price recovery, or a rising market that lifted most shares. Open the trades behind the ranking to understand how the result was built.

Questions behind a strong ranking
Would the result survive without the best trade?

Look for consistency across the underlying transactions. An average dominated by one outlier tells a different story from a similar return repeated across several separate decisions.

How many distinct decisions are in the sample?

Several purchases close together may be instalments of one buying programme. Read the dates and prices before treating the transaction count as a count of independent investment decisions.

What happened to the market over the same period?

Compare the share-price move with the broader market and sector. A positive holding-period return alone does not establish that the insider demonstrated exceptional timing.

Check the disclosure behind the data

insider screener organizes public NSE and BSE insider-trading disclosures into searchable company histories. The feed follows our India reporting coverage; a company's domicile or overseas listing alone does not determine which filings appear here.

Use the original filing where available to confirm the transaction mode, reporting person's category and any corrections. A company listed on both exchanges may publish related announcements, so check the underlying details before treating each announcement as a separate trade.

Understanding NSE and BSE insider trading disclosures

What is NSE insider trading data?

NSE publishes securities transaction disclosures under the SEBI Prohibition of Insider Trading framework. These identify the reporting person, their relationship to the company, the securities acquired or disposed of and relevant dates. Use the original disclosure to check the transaction details. NSE: insider trading disclosures

Does this page include BSE disclosures?

Our India pipeline processes NSE and BSE disclosures. A company may be listed on both exchanges, so exchange publications should not automatically be counted as separate investment decisions. Coverage and processing status are available on our coverage page.

Who are promoters and members of the promoter group?

Indian disclosures identify roles such as promoter, promoter group, designated person and director. Promoters and promoter-group entities can have a controlling or related ownership role rather than a day-to-day management role. Read the reported category before comparing their transactions with executive purchases.

How soon must reportable transactions be disclosed?

Under Regulation 7(2), covered persons disclose to the company within two trading days when aggregate traded value exceeds ₹10 lakh in a calendar quarter. The company then has two trading days from receipt or awareness to notify the exchange. This is a disclosure threshold, not a per-trade minimum. SEBI PIT regulations: Regulation 7

Why are the transaction date and reporting date different?

The transaction date records when the securities changed hands; the reporting date records the disclosure. A filing can cover a period or arrive after the trade. The preview is ordered by reporting date and covers disclosures reported in the past seven days.

Is an acquisition always an open-market purchase?

No. An acquisition can involve an allotment, a gift or an off-market transfer. A pledge relates to securities used as collateral and should not be read as an ordinary cash purchase. Check the disclosed nature, price and quantity before interpreting any change in holdings.

Are transaction values shown in rupees?

Check the currency beside each transaction. Indian filings commonly report rupees (INR); one lakh is 100,000 and one crore is 10,000,000. Ranking previews labelled USD use converted values for comparison; they are not rupee amounts.

How often is India data updated?

The India ingestion jobs run twice daily. Exchange publication, processing and corrections can delay when a disclosure appears here. Email alerts are sent after transactions are processed; they are not an exchange-time feed.

Can I follow an Indian company with alerts?

Yes. Search for the company to open its company page, then use the report or alert action there. Plus includes daily reports; Premium adds email alerts as transactions are processed. Plan limits apply to tracked companies and other features.

Does a disclosed purchase prove that a stock will rise?

No. Compare the amount, transaction type, reporting person and previous activity with the company’s results and valuation. Published disclosures do not establish that a transaction is lawful or that SEBI has approved it. This page provides research information, not a return forecast.
