Director-dealing announcements disclose transactions by company directors and other people covered by the reporting rules. Investors can use them to identify activity worth researching, alongside the company's results, valuation and wider circumstances.
Director dealings are reported transactions in a company's securities by directors and other people covered by disclosure rules. Announcements can include purchases, sales, awards and option exercises, so the nature of the transaction matters.
PDMR means person discharging managerial responsibilities. It includes board members and certain senior executives with regular access to inside information and authority over business decisions. Reporting also extends to persons closely associated with them, known as PCAs. FCA: PDMRs
Under UK MAR Article 19, reportable transactions must be notified to the issuer and FCA promptly, within three working days of the transaction. The issuer then has two working days from receipt to publish the information. Public announcements and this site's updates can therefore appear after the dealing date. FCA reporting requirements
The FCA currently states a €5,000 annual threshold. Transactions are added without offsetting purchases against sales. It is an annual cumulative threshold, rather than a £5,000 minimum for each trade. FCA: managers’ transactions
UK MAR applies to AIM issuers as well as issuers on the Main Market. That does not establish complete platform coverage: check our coverage page for the companies and history available here. London Stock Exchange: AIM FAQs
UK MAR generally restricts PDMR dealing during the 30 calendar days before required interim and year-end financial reports, subject to limited exceptions. This does not mean dealing is automatically permitted at other times. UK MAR Article 19
A purchase can be useful research context, but it does not predict returns. Check its size, the person's earlier dealings, whether it came through a share plan, and the company's wider position. A sale alone does not establish a negative view of the business.
Some UK shares are quoted in pence, often labelled GBX or GBp. A price of 250p equals £2.50. Check the stated price unit before comparing it with a total transaction value in pounds. London Stock Exchange: price explorer
