What is SEC Form 4?

SEC Form 4 is the filing used by U.S. corporate insiders to report changes in their beneficial ownership of a public company’s securities.

It is typically filed by directors, officers, and beneficial owners of more than 10% of a registered class of equity securities when they buy, sell, exercise, convert, gift, or otherwise change their holdings. In most cases, it must be filed within two business days of the transaction.

A Form 4 usually shows: - the security involved - the transaction date - the transaction code - whether shares were acquired or disposed of - the price and number of shares - the insider’s holdings after the transaction - whether ownership is direct or indirect - any explanatory footnotes
